Marvell Plunges 13% on Lumentum Takeover Rumors: Make Your 3-5 Year Bet Right Now

Acquisition rumors sent Marvell tumbling hard in a single week, but the real question for long-term investors is whether the chaos around a potential Lumentum deal hides a rare buying opportunity or a costly distraction from Marvell's AI roadmap.
Marvell Technology (NASDAQ:MRVL | MRVL Price Prediction) trades at $196.40, and its long-term case for three-to-five-year holders beefs up because a acquisition of Lumentum (NASDAQ:LITE) would add to its AI optics roadmap. Shares fell 10.05% in one session and 14.05% over the past week on reports of Marvell’s interest.
Marvell designs custom AI chips, optical DSPs and switches for hyperscalers. Its Data Center revenue reached $2.17 billion last quarter, or 79% of sales. Lumentum makes the lasers and optical switches that link AI clusters, and its revenue grew 109.3% in its latest quarter. Lumentum’s market cap is roughly $76.2 billion and Marvell’s is $172.2 billion, so a deal would be a heavy lift.
Intel Implodes and Google Crashes: Is it Time to Abandon AI Stocks or is the Market Overreacting?
Marvell trades at 26x forward earnings versus 65x trailing, with a PEG ratio of 0.484. Management raised its fiscal 2027 revenue outlook to roughly $12 billion and fiscal 2028 to approximately $18 billion. It also expects custom revenue to more than double in fiscal 2028. On the Alphabet (NASDAQ:GOOGL) Google warrant, management said, “Whatever you’ve modeled previously for custom numbers prior to the warrant definitely goes higher.”
Lumentum fills a gap in that plan. Marvell said its scale-up optics expectations for next year increased meaningfully, and Lumentum sees NPO and CPO ramping around 2028. Having Lumentum’s lasers would pair Celestial AI’s photonic fabric with in-house light sources. No analyst rates Marvell a Sell.
Lumentum trades at 25.27x sales and 43x forward earnings, a higher valuation than Marvell’s 18.68x sales. Paying a acquisition premium would take new stock or debt on top of $4.96 billion in existing debt, a $2 billion preferred raise and a Google warrant for up to 7% of shares.
Concentration adds to the risk. A handful of hyperscalers drive Data Center sales. The custom ramp is squeezing gross margin mix, and Marvell is still integrating Celestial AI and XConn. With a beta of 2.26, the stock can swing hard on any deal headline.
Marvell has issued no statement, so investors are pricing a rumor. The deal terms, including cash versus stock and the size of the premium, will decide whether it adds to earnings. Meanwhile, Marvell has beaten revenue and EPS estimates in each of the last three quarters.
The next checkpoint is the fiscal third-quarter report, measured against guidance of $3.15 billion in revenue and $1.10 in non-GAAP EPS. After that, management expects to reach its 38% to 40% operating margin target in fiscal Q4. Disciplined deal terms would beefs up the bull case. A stock-heavy premium would hurt it.
Marvell trades at $196.40 against a consensus target of $340.56, which implies 73.4% upside. Targets are estimates and can fall quickly. The 46 analysts covering the stock break down as follows
Marvell is up 131.5% year to date versus 10.82% for the S&P 500. Over the past month, Marvell fell 25.65% while the S&P 500 slipped 0.91%. That leaves shares well below their 52-week high of $329.73.
At $196.40, Marvell’s valuation leaves room for its AI roadmap to drive results.
Growth depends on custom silicon and scale-up optics (we highlighted seven suppliers behind the AI data-center expansion, from power to cooling to networking, in a free report you can grab here). Management called fiscal 2029 custom revenue a $10 billion-plus opportunity with “a lot of upside bias”. Both companies expect NPO and CPO adoption to take off around 2028. Lumentum’s lasers and optical circuit switches would let Marvell supply both ends of those links.
At 26x forward earnings, the share price reflects fears about the deal and gives little credit to the $18 billion fiscal 2028 outlook. Lumentum guided to a 39.5% to 40.5% non-GAAP operating margin, above Marvell’s 36.6%. That could lift a combined company’s margins if deal costs stay contained.
The thesis breaks if Marvell overpays with heavy stock issue, if data center growth stalls or if hyperscalers bring optics in-house. Watch the deal terms, the next earnings report and gross margin over the next two quarters.
At $196.40, the share price reflects a rumor-driven discount to Marvell’s fiscal 2028 outlook, and a Lumentum deal could expand its optics capabilities over a three-to-five-year horizon.
